04 / PRIVATELY NEGOTIATED BUSINESS DEBT
Private creditCapital for a more complex need.
Clarity on the commitment.
Private credit is business debt provided by nonbank lenders or private investment funds. A conversation can explore the purpose of the capital, the business’s cash flow, and the obligations a proposed structure would create.
Discuss this optionStart with the business objective
Growth, an acquisition, or a change in the business can raise financing questions beyond day-to-day working capital. Define the intended use of proceeds and the operating information needed to evaluate it.
Consider the middle-market picture
Established businesses may need capital for an acquisition, an expansion project, or a larger operating cycle. Prepare a current financial picture, cash-flow forecasts, existing debt and lien details, and the proposed use of proceeds. If assets support the financing, receivables aging, inventory records, and equipment information may also matter.
Understand the debt structure
Private credit arrangements can be negotiated around a particular business or transaction. Review repayment, interest and fees, collateral, covenants, guarantees, reporting duties, and lender remedies together. Terms and availability depend on the provider and the transaction.
