01 / RECEIVABLES-BASED FINANCING
Merchant cash advancesUnderstand the structure.
Protect the operating picture.
A merchant cash advance is generally structured as a purchase of future business receivables. Understanding how the collection process interacts with actual receipts is central to evaluating the agreement.
Discuss this optionWhat the structure means
In a receivables-purchase arrangement, a business receives a purchase price in exchange for an agreed portion or amount of future receivables. The contract describes what is purchased, how collections occur, and what each party must do. The name on a product brochure does not explain all of those obligations.
Read the agreement as a whole. Consider the total purchased receivables, any deductions or fees, the collection mechanism, and whether the business must use a specified account or processor. Obtain a written explanation of anything that is unclear before proceeding.
The operating question to ask
Start with the business’s real receipt pattern. Seasonal sales, customer concentration, refunds, and existing financing can all affect the cash available for payroll, suppliers, taxes, and other operating costs. Compare the proposed arrangement with a realistic view of those commitments.
Pay particular attention to any reconciliation provisions, the process for requesting adjustments, and what happens when receipts change. Do not assume that collections automatically adjust to performance. The actual contract and applicable law determine how the arrangement operates.
Read beyond the payment mechanism
A review should include security interests, personal guarantees, account-access provisions, default triggers, collection rights, and restrictions on additional financing. Ask how existing obligations interact with a new arrangement and who is responsible for providing statements or other information.
Keep copies of the complete agreement and any written explanations. If a term is difficult to understand or could materially affect the business, obtain appropriate independent professional advice. A general product explanation cannot determine the legal effect of a particular contract.
